Terms of Service

These Terms of Service apply to your use of the Nexlivo Studio website and, where relevant, to services purchased directly from Nexlivo Studio. By using this website or engaging Nexlivo Studio for paid services, you agree to these terms together with any proposal, quotation, invoice, scope of work, or service agreement accepted for your project.
1. Website use
Information on this website is provided for general informational purposes. We may update, remove, or change website content, service descriptions, availability, or pricing information without notice. You may not misuse the website, interfere with its operation, attempt unauthorized access, or use its content in a way that violates applicable law or third-party rights.
2. Services and quotations
Nexlivo Studio provides web design, web development, landing page, website redesign, and related digital services. Any prices displayed on this website are starting estimates unless explicitly stated otherwise. Final fees depend on the agreed scope, number of pages, content, functionality, timeline, integrations, revisions, and other project requirements.
A project becomes confirmed only after the scope, price, payment schedule, and other material terms have been accepted in writing and any required initial payment has been received.
3. Project agreements
Paid client work may be governed by a proposal, quotation, invoice, scope of work, or separate Service Agreement. If a project-specific written agreement conflicts with these website terms, the project-specific agreement will control for that project to the extent of the conflict.
4. Payments and invoices
Payment terms are stated in the applicable proposal, invoice, or Service Agreement. Unless otherwise agreed in writing, projects may require an initial deposit before work begins and a remaining balance before final launch, handover, or transfer of final source files.
Nexlivo Studio may offer payment through providers such as Wise, PayPal, Payoneer, bank transfer, marketplace payment systems, or another agreed method. Payment providers may apply their own fees, conversion rates, verification requirements, processing times, and terms.
Third-party expenses such as domain registration, hosting, premium plugins, software, stock assets, paid APIs, or other external services are not included unless specifically listed in the agreed scope or invoice.
5. Client responsibilities
Clients are responsible for providing accurate business information, website content, logos, images, brand materials, approvals, feedback, and any access reasonably required for the project. Clients confirm that they own, license, or otherwise have permission to use the materials they provide.
The client is responsible for reviewing and approving factual information, spelling, prices, contact details, claims, legal notices, policies, and other business content before launch.
6. Revisions and changes in scope
The number of included revision rounds is defined in the applicable proposal or Service Agreement. Revisions are changes to work already included in the agreed scope. New pages, major redesign requests after approval, new functionality, additional integrations, or other work outside the original scope may require a revised quote, additional fees, and a revised delivery timeline.
7. Timelines and delays
Project timelines are estimates unless a specific written guarantee is provided. Work may be delayed if required content, feedback, approvals, payments, or access are not provided on time, or if delays are caused by third-party services or circumstances outside Nexlivo Studio's reasonable control.
If a project remains inactive for an extended period because required client input is not received, Nexlivo Studio may place the project on hold and provide a revised schedule when work resumes.
8. Cancellation and refunds
Cancellation and refund terms may be set out in the applicable proposal or Service Agreement. Where no separate written terms apply, the client remains responsible for work completed and non-refundable third-party costs incurred up to the cancellation date. Any refund, if applicable, will reflect work already performed, reserved project time, and expenses already committed.
9. Intellectual property and source files
Unless otherwise agreed in writing, ownership of final custom website work created specifically for the client transfers to the client after full payment is received. Pre-existing tools, reusable code, frameworks, fonts, libraries, stock assets, third-party software, and other licensed materials remain subject to their existing ownership and license terms.
Until all amounts due for the project have been paid, Nexlivo Studio retains ownership of its unpaid project work and may withhold final source files, transfer, deployment, or handover.
10. Portfolio concepts and portfolio rights
Projects labeled "Concept Project" are illustrative portfolio work and are not presented as completed client engagements.
Unless a client requests confidentiality in writing before public launch, Nexlivo Studio may display publicly available screenshots, the client's business name, and non-confidential project visuals in its portfolio or marketing materials solely to demonstrate its work.
11. Third-party services
Websites may rely on third-party services such as hosting companies, registrars, email providers, analytics platforms, payment providers, APIs, fonts, plugins, and other software. These services operate under their own terms and may change pricing, functionality, policies, or availability. Nexlivo Studio is not responsible for outages, suspension, data loss, pricing changes, or failures caused by third-party providers outside its reasonable control.
12. Privacy, cookies, accessibility, and legal compliance
Clients are responsible for determining which laws, regulations, industry rules, privacy notices, cookie requirements, accessibility obligations, disclosures, licenses, or other legal requirements apply to their business and website. Nexlivo Studio may implement client-provided policies or agreed technical features, but does not provide legal, tax, privacy, or regulatory advice.
13. Post-launch support and maintenance
Unless ongoing maintenance or support is included in the agreed scope, post-launch updates, content changes, new features, hosting management, security monitoring, backups, or ongoing technical support are separate services and may be quoted separately.
Any defect-correction period or warranty for a specific project will be stated in the applicable Service Agreement or proposal.
14. No guarantee of business results
Nexlivo Studio does not guarantee specific rankings, traffic levels, leads, sales, conversions, revenue, or other commercial results from a website or digital service unless a specific written guarantee has been expressly agreed.
15. Limitation of liability
To the maximum extent permitted by applicable law, Nexlivo Studio will not be liable for indirect, incidental, special, or consequential losses arising from use of this website or from services provided. Where liability cannot legally be excluded, Nexlivo Studio's aggregate liability relating to a paid project will not exceed the amount actually paid to Nexlivo Studio for that project, except where such a limitation is prohibited by law.
16. Confidentiality
Where non-public business information is shared for a project, Nexlivo Studio will use reasonable care to protect it and use it only as needed to perform the agreed services. This does not apply to information that is already public, lawfully known, independently developed, or required to be disclosed by law.
17. Governing terms and disputes
The governing law, jurisdiction, or dispute-resolution process for a paid project may be specified in the applicable Service Agreement. If a dispute arises, both parties should first attempt in good faith to resolve it through written communication before beginning formal proceedings, subject to any rights or remedies that cannot legally be waived.
18. Changes to these terms
We may update these Terms of Service from time to time. The current version will be posted on this page with the updated revision date. Changes will apply prospectively unless applicable law requires otherwise.
